Specific deliverables, timelines, and commercial terms are set out in individual Statements of Work ("SOW") or Master Service Agreements ("MSA") executed between the parties. In the event of a conflict between these Terms and any SOW or MSA, the SOW or MSA shall take precedence. These terms apply to all payments for services provided by Entreflux Group and any affiliates managed by Entreflux.

Purchase and Payment Terms
Currency and Pricing
All transactions are processed in USD (United States Dollars). Equivalent amounts in EUR (Euros) or other local currencies may be displayed for convenience and informational purposes only. Final charges will reflect the USD amount at the prevailing exchange rate at the time of transaction completion. Pricing is subject to change with 30 days' written notice.
Accepted Payment Methods
Entreflux accepts payments via: - Visa - Mastercard - American Express - Apple Pay - Google Pay All payments are securely processed by Stripe, a PCI-DSS Level 1 Service Provider. Your payment information is encrypted and handled via industry-standard security protocols. Entreflux does not store credit card data on our servers.
Invoicing
For services rendered, invoices will be issued according to the terms specified in your SOW or MSA. Payment is due within the timeframe specified on the invoice (typically net 30 days unless otherwise agreed).
Fulfillment and Service Delivery
Definition of Fulfillment
Entreflux provides consulting services and management of digital platforms on a milestone-based delivery model. Fulfillment is defined as the delivery of agreed-upon milestones as specified in your SOW or MSA, including: - Delivery of consulting reports and recommendations - Implementation of agreed-upon platform management tasks - Delivery of strategic recommendations and analytics - Completion of specified configuration or integration work
Cancellation Policy
Subscription or recurring management services may be cancelled with thirty (30) days' written notice. Access continues until the end of the current billing cycle. Cancellations must be submitted in writing to [email protected].
Refunds and Non-Refundable Work
All service payments are non-refundable once work has commenced. Milestone-based fees are considered earned upon delivery of agreed-upon deliverables. Payments for consulting hours already commenced are non-refundable. For cancellations before work commencement, a full refund may be issued at Entreflux's discretion.
Returns
As Entreflux provides digital services and consulting (not physical products), there are no physical returns applicable to our service offerings.
Intellectual Property Rights
All content, features, functionality, designs, graphics, text, and intellectual property contained within our platform are owned by or licensed to Entreflux Group and are protected by international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or transmit any content without prior written consent.
User Content
Any content you submit remains your property, but you grant us a worldwide, perpetual license to use, modify, and distribute that content in connection with our services. All materials on our platform are proprietary to Entreflux Group unless otherwise indicated.
Confidentiality and Data Protection
We are committed to protecting your personal data and maintaining strict confidentiality. Your use of the platform is governed by our Privacy Policy. Any confidential information shared during the course of our engagement is protected under applicable non-disclosure agreements and data protection regulations including GDPR and CCPA.

We implement industry-standard security measures to protect your data. However, no method of transmission over the internet is 100% secure. We cannot guarantee absolute security of your information.
Limitation of Liability and Managed Services
Liability of Entreflux Management Layer
Entreflux Group acts as a management layer and consultant. **Entreflux Group retains no liability for the downstream performance, uptime, reliability, or specific actions of third-party applications, platforms, or services contracted to be managed by Entreflux under a SOW or MSA.** Client is responsible for performing due diligence on all third-party services and maintaining direct relationships with such third parties.
Disclaimer of Warranties
The platform is provided "as-is" without warranties of any kind. We do not guarantee uninterrupted service or error-free operation.
Limitation of Damages
To the fullest extent permitted by applicable law, Entreflux shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from or related to your use of our services, even if we have been advised of the possibility of such damages. The total liability of Entreflux shall not exceed the fees paid by you in the twelve (12) months preceding the claim.
Chargeback and Dispute Resolution
Chargeback Policy
Payments rendered for services already commenced are non-refundable. Chargebacks will be contested. If a chargeback is initiated, Entreflux reserves the right to: - Suspend your account and access to services - Pursue collection of the disputed amount plus associated fees and legal costs - Refer the matter to appropriate legal authorities Any chargeback on milestone-based payments constitutes breach of these Terms.
Dispute Resolution
Any disputes shall first attempt resolution through good faith negotiation within 30 days of the dispute arising. Unresolved disputes shall proceed to binding arbitration before pursuing litigation, except for injunctive relief matters.
Promotions and Discounts
Promotional Rates
Promotional rates and special pricing offers, including weekly discounts and VIP subscription programs, are subject to change at any time. Specific eligibility criteria, duration, and terms for each promotion will be defined per campaign at the time of offer. Promotional rates are not transferable and applicable only to the specified customer account.
Termination of Promotions
Entreflux reserves the right to terminate any promotional offering with thirty (30) days' written notice. Upon termination, standard pricing will apply to subsequent billing cycles unless otherwise agreed in writing.
Geographic Restrictions and Export Controls
Service Availability
Entreflux Group services are available globally, except where prohibited by U.S. export controls, economic sanctions programs (OFAC), or local jurisdictional laws. Services are not intended for use in territories where such services would violate local law, regulatory requirements, or international export controls.
Jurisdictional Restrictions
By accepting these Terms, you represent and warrant that you are not: - Organized or resident in any country subject to U.S. trade embargoes - Listed on any U.S. government restricted party list (SDN list, entity list, etc.) - Acting on behalf of any sanctioned entity or individual - Located in a jurisdiction where Entreflux services are prohibited
Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms shall be subject to the non-exclusive jurisdiction of the courts in New York County.
Dispute Resolution
Any disputes shall first attempt resolution through binding arbitration before pursuing litigation, except for injunctive relief matters.
Data and Privacy Compliance
Entreflux Group complies with applicable data protection regulations including the General Data Protection Regulation (GDPR), California Consumer Privacy Act (CCPA), and other regional privacy laws. Payment information is handled in accordance with PCI-DSS standards via Stripe payment processing.
Modifications and Changes
Entreflux reserves the right to modify these Terms at any time. Continued use of the platform and services following publication of revised Terms constitutes your acceptance of the changes. We will notify you of significant changes via email or prominent notice on our platform at [email protected].
Termination
Entreflux Group reserves the right to terminate your access to the platform at any time for violation of these Terms or for any other reason at our discretion. Upon termination, your license to use the platform ceases immediately.
